Bijal Talk Studio is a professional training and development practice offering Soft Skills, Corporate Training and POSH (Prevention of Sexual Harassment) awareness and compliance programs for individuals and organisations. Our services are delivered through in-person workshops, virtual instructor-led sessions, self-paced e-learning, and blended learning formats.

Acceptance of Terms
By using our website or engaging our services, you confirm that you:
- Are at least 18 years of age or are accessing this site on behalf of an organisation with authority to bind that organisation to these Terms.
- Have the legal capacity to enter into a binding agreement.
- Have read, understood, and agree to these Terms and our Privacy Policy and Refund & Cancellation Policy, both of which are incorporated herein by reference.
If you do not agree to any part of these Terms, please discontinue use of our website and services immediately.
Description of Services
3.1 Soft Skills Training
We offer open-enrollment and customised programs covering communication, leadership, emotional intelligence, time management, presentation skills, conflict resolution, team dynamics, and related interpersonal competencies. Programs are available for individuals and corporate groups.
3.2 Corporate Training
We design and deliver tailored corporate learning interventions including needs-assessment-based workshops, management development programs, outbound training modules, and blended learning solutions. Corporate engagements are governed by a separate Statement of Work (SoW) or Training Agreement.
3.3 POSH Training & Compliance Services
We provide POSH awareness and compliance programs as mandated under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013. Our POSH services include:
- Awareness and sensitisation sessions for employees
- Training for Internal Committee (IC) / Local Committee (LC) members
- External Committee Member (EC) services under the POSH Act
- Policy review, drafting assistance, and annual compliance support
3.4 Digital Products & E-Learning
We offer self-paced courses, recorded webinars, downloadable toolkits, templates, and other digital resources. Access to these products is subject to the specific terms stated at the point of purchase.
3.5 Coaching & Advisory Services
One-on-one executive coaching, facilitation services, and speaking engagements are offered on a bespoke basis and are governed by separate agreements signed prior to engagement.
Registration & User Accounts
To access certain services, you may be required to create an account or provide personal information. You agree to:
- Provide accurate, current, and complete information at the time of registration.
- Keep your login credentials confidential and not share them with any third party.
- Notify us immediately at support@bijaltalkstudio.com if you suspect any unauthorised use of your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are associated with fraudulent activity.
Fees, Payments & Invoicing
5.1 Fee Schedule
All program fees are listed on our website or communicated via a formal Proposal / Quote. Prices are stated in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise.
5.2 Payment Terms
- Individual / Open-Enrollment Programs: Full payment is required at the time of registration to secure a seat.
- Corporate Engagements: A non-refundable advance deposit is required to confirm the booking; the balance is due as per the agreed payment schedule.
- E-Learning / Digital Products: Full payment is required at checkout.
5.3 Accepted Payment Methods
We accept payment via bank transfer (NEFT / RTGS / IMPS), UPI, credit/debit cards, and other methods listed on our payment portal. We do not accept cash payments for online registrations.
5.4 Late Payments
For corporate clients, invoices unpaid beyond the agreed due date will attract a late payment charge of 1.5% per month on the outstanding amount. We reserve the right to suspend services and withhold certificates/deliverables until all dues are cleared.
5.5 Taxes
You are responsible for all applicable taxes, duties, or levies associated with your purchase. Where GST applies, a valid tax invoice will be issued. Clients requiring a GST invoice must furnish their GSTIN at the time of booking.
Intellectual Property Rights
6.1 Our Content
All training content, course materials, presentations, handouts, workbooks, e-learning modules, videos, toolkits, assessment tools, frameworks, methodologies, and any other materials are the exclusive intellectual property of Bijal Talk Studio or its licensors.
6.2 License to Participants
Upon full payment, participants are granted a limited, non-exclusive, non-transferable, revocable licence to use Training Materials solely for personal or internal organisational learning purposes. This licence does not permit:
- Reproduction, distribution, resale, or sublicensing of any Training Materials in whole or in part.
- Modification, adaptation, translation, or creation of derivative works.
- Public display, broadcasting, or use of materials for commercial training purposes.
- Uploading any materials to third-party platforms, repositories, or the internet.
6.3 Corporate Clients — Custom Content
Where we create bespoke training content for a corporate client, ownership of the final deliverables shall be as agreed in the written Training Agreement or SoW. In the absence of such agreement, all intellectual property rights vest exclusively with Bijal Talk Studio.
6.4 User-Generated Content
By submitting testimonials, feedback, or case studies, you grant us a perpetual, royalty-free, worldwide licence to use, reproduce, and publish such content for marketing and promotional purposes.
Special Terms for POSH Services
7.1 Nature of Services
Our POSH training services are designed to assist organisations in meeting their awareness and training obligations under the POSH Act, 2013. We do not act as legal counsel and our trainers are not advocates or lawyers unless separately specified.
7.2 External Committee Member (EC) Engagement
Where we are engaged as an External Committee Member under Section 4(2)(c) of the POSH Act, a separate EC Appointment Letter / Agreement will govern the scope, tenure, fees, and responsibilities of the engagement.
7.3 Confidentiality in POSH Matters
All information shared in connection with any POSH complaint, investigation, or consultation shall be treated with the strictest confidentiality in accordance with Section 16 of the POSH Act.
7.4 Non-Interference
The client organisation agrees not to exert undue influence or pressure on any External Committee Member appointed through our services. Any attempt to compromise the independence of the EC process will entitle us to withdraw our services immediately.
Participant Code of Conduct
All participants in our programs — whether in-person or virtual — are expected to conduct themselves with professionalism and mutual respect. The following behaviours are strictly prohibited:
- Harassment, intimidation, or discriminatory conduct of any kind toward other participants, trainers, or facilitators.
- Recording, photographing, or screen-capturing any session without prior written consent of the trainer.
- Sharing login credentials or session links with non-registered individuals.
- Disruptive conduct that impairs the learning experience of others.
- Reproduction or commercial use of session content without authorisation.
We reserve the right to remove any participant who violates this Code of Conduct without refund.
Confidentiality & Non-Disclosure
Both parties may have access to proprietary or sensitive information belonging to the other party ('Confidential Information'). Each party agrees to:
- Keep all Confidential Information strictly confidential and not disclose it to any third party without prior written consent.
- Use Confidential Information solely for the purpose of fulfilling obligations under the engagement.
- Apply at least the same standard of care to protect the other party's Confidential Information as it applies to its own.
This obligation of confidentiality shall survive the termination of any training engagement for a period of three (3) years or as decided per circumstances.
Data Privacy & Protection
We are committed to protecting the privacy of all users and participants. Personal data collected during registration, payment, and program delivery is processed in accordance with our Privacy Policy. By using our services, you consent to the collection, use, and processing of your personal information which may include:
- Contact details for communication and service delivery
- Payment information for billing purposes (processed securely through third-party gateways)
- Program participation data for certificate issuance and record-keeping
- Feedback and assessment data for quality improvement
We do not sell, rent, or trade personal data to third parties. We comply with applicable Indian data protection laws including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
Certificates of Participation & Completion
Certificates will be issued to participants who meet the following criteria:
- Attended a minimum of 80% of the scheduled program hours (or completed 80% of a self-paced course).
- Cleared any mandatory assessments or assignments, where applicable.
- Have no outstanding fees or dues at the time of certificate issuance.
Certificates issued by us are acknowledgements of program participation and learning. They are not academic qualifications, government-recognised certifications, or legal compliance certificates unless specifically stated in the program description.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability shall not exceed the total fees paid by you for the specific program or service giving rise to the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, or reputational harm.
- We shall not be liable for any failure caused by circumstances beyond our reasonable control, including natural disasters, pandemic, government actions, or technical failures of third-party platforms.
- We make no guarantee of specific results, promotions, or behavioural change as a result of attending our programs.
Indemnification
You agree to indemnify, defend, and hold harmless Bijal Talk Studio, its founders, trainers, employees and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising from or related to:
- Your breach of these Terms or any applicable law.
- Your misuse of Training Materials or violation of our intellectual property rights.
- Any false or misleading information provided during registration or engagement.
- Any third-party claim arising from your use of our services.
Disclaimers & Warranties
Our website, content and services are provided on an 'as is' and 'as available' basis. We make no representations or warranties of any kind, express or implied, including but not limited to:
- The accuracy, completeness, or timeliness of any content on our website.
- That our services will meet your specific requirements or learning outcomes.
- That our website will be uninterrupted, error-free, or free of viruses or harmful components.
- That any results obtained from the use of our training content will be accurate or reliable.
Third-Party Links & Platforms
Our website may contain links to external websites, platforms, or tools (e.g., Zoom, payment gateways, LinkedIn) for convenience. We do not endorse, control, or accept responsibility for the content, privacy practices, or terms of third-party sites.
Virtual programs are delivered via third-party platforms such as Zoom, Microsoft Teams, or Google Meet. Participants are responsible for ensuring they have compatible devices, software, and internet connectivity. Platform outages beyond our control do not entitle participants to a refund but we will endeavour to reschedule affected sessions.
Force Majeure
Neither party shall be held liable for delays or failures in performance caused by events beyond reasonable control including acts of God, floods, fire, earthquake, pandemic, epidemic, government regulations, civil unrest, power failures, or internet disruptions ('Force Majeure Events').
In the event of a Force Majeure Event affecting a confirmed program, we will notify you as soon as practicable and endeavour to reschedule the session. If rescheduling is not feasible within 90 days, a full refund will be issued.
Termination
17.1 Termination by Us
We reserve the right to terminate or suspend your access to our services immediately and without prior notice if you breach any provision of these Terms, we reasonably suspect fraudulent conduct, or you fail to make timely payment.
17.2 Termination by You
You may terminate your use of our website at any time by simply discontinuing access. Termination of an active enrollment or contract does not entitle you to a refund except as provided under our Refund & Cancellation Policy.
17.3 Survival
Clauses relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law shall survive the termination of any engagement or these Terms.
Amendments to These Terms
We reserve the right to update or amend these Terms at any time without prior notice. Changes will be published on our website with a revised 'Last Updated' date. It is your responsibility to review these Terms periodically. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
Governing Law & Dispute Resolution
19.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in India.
19.2 Dispute Resolution
In the event of any dispute, the parties agree to attempt in good faith to resolve the matter through informal negotiation within 30 days. If the dispute is not resolved within this period, either party may refer the matter to arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Surat City, Gujarat, India only.
Entire Agreement & Severability
These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and Bijal Talk Studio with respect to your use of our website and services, and supersede all prior agreements, representations, or understandings.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, such provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.
Waiver
No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver by us of any breach shall not be construed as a waiver of any subsequent breach.
